1. Acceptance of Terms

By accessing or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional guidelines or rules applicable to specific Services. These Terms constitute a legally binding agreement between you and Visionary Tech Studios.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Services after any modifications indicates your acceptance of the updated Terms.

2. Eligibility and User Responsibilities

By using our Services, you represent and warrant that:

• You have the legal capacity to enter into a binding agreement.

• You will not use the Services for any illegal, harmful, or unauthorized purpose.
• If you are under the age of majority in your jurisdiction, you have obtained parental or guardian consent to use the Services.

3. License to Use

Subject to your compliance with these Terms, Visionary Tech Studios grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use our Services for your personal, non-commercial entertainment purposes.

This license does not grant you any ownership rights in the Services. All rights not expressly granted to you under these Terms are reserved by Visionary Tech Studios and its licensors.

4. Intellectual Property

All content, materials, and features available through our Services, including but not limited to:

• Artwork, graphics, and visual designs
• Logos, trademarks, and branding
• Characters, stories, and narratives
• Music, sound effects, and audio assets
• User interfaces and layouts
• Website content and design
• Text, documentation, and written materials

are the exclusive intellectual property of Visionary Tech Studios, Visionary Technologies Enterprise, or their respective licensors. These materials are protected by copyright, trademark, and other intellectual property laws of Zambia and international treaties.

Nothing in these Terms grants you any right, title, or interest in or to our intellectual property, except for the limited license expressly granted in Section 3.

5. Prohibited Activities

You agree that you will not, directly or indirectly:

• Reverse engineer, decompile, disassemble, or attempt to extract the source code of any of our Services.
• Copy, reproduce, modify, adapt, translate, or create derivative works based on our Services.
• Distribute, sell, lease, rent, sublicense, or otherwise commercially exploit our Services.
• Cheat, exploit bugs, use unauthorized third-party software, or manipulate our Services in ways that provide an unfair advantage.
• Remove, obscure, or alter any proprietary notices, labels, or marks from our Services.
• Use our Services in any manner that could damage, disable, overburden, or impair our servers or networks.
• Attempt to gain unauthorized access to any part of our Services or any systems or networks connected to our Services.

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the content, functionality, or practices of any third-party services. We encourage you to review the terms of service and privacy policies of any third-party services you use.

7. Updates and Modifications

We reserve the right to modify, update, suspend, or discontinue any aspect of our Services at any time, with or without notice. This includes:

• Releasing updates, patches, and new versions.
• Changing game balance, mechanics, or content.
• Discontinuing older games or services.
• Updating system requirements.

You agree that Visionary Tech Studios shall not be liable to you or any third party for any modification, suspension, or discontinuation of our Services.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VISIONARY TECH STUDIOS DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Services will be uninterrupted, error-free, secure, or free of harmful components.
• Warranties regarding the accuracy, reliability, or completeness of any content available through the Services.

You use our Services at your own risk. Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VISIONARY TECH STUDIOS, VISIONARY TECHNOLOGIES ENTERPRISE, THEIR DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or goodwill.
• Physical damage to your device resulting from gameplay activities.
• Service interruption or computer damage.
• Damages arising from your use of or inability to use our Services.
• Damages arising from any third-party services linked to or integrated with our Services.

You are solely responsible for holding your device securely during gameplay and taking appropriate precautions. Our total liability to you for any claims arising from your use of the Services shall not exceed the amount you paid to us, if any, in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Visionary Tech Studios, Visionary Technologies Enterprise, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms.
• Your use or misuse of our Services.
• Your violation of any applicable laws or regulations.
• Your violation of any third-party rights.

11. Termination of Access

We reserve the right to terminate or suspend your access to our Services, in whole or in part, at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimers, and limitations of liability.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of Zambia.

Before initiating any formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect to the maximum extent permitted by law.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Visionary Tech Studios regarding your use of our Services and supersede all prior agreements and understandings.
